Terms of Service
Last updated: September 23, 2026
These Terms of Service govern every trade-in, IT asset disposition (ITAD), data destruction, recycling and equipment sale provided by New Gen Technology LLC, and your use of www.new-gentech.com. Please read them carefully. By requesting a quote, shipping or releasing equipment to us, placing an order, or using this website, you agree to these Terms.
1. Acceptance and scope
These Terms form a binding agreement between New Gen Technology LLC ("New Gen Technology," "we," "us") and the business, institution, public entity or individual using our services ("Customer," "you"). If you accept these Terms on behalf of an organization, you confirm that you are authorized to bind that organization.
Our services are intended primarily for businesses, schools, healthcare providers, government agencies and other organizations. Any terms in a Customer purchase order, vendor portal or similar document that add to or conflict with these Terms do not apply unless we agree to them in a writing signed by an authorized representative of New Gen Technology (see Section 16).
2. Definitions
- "Equipment" means any laptops, desktops, servers, networking gear, phones, tablets, monitors, storage media, components, accessories or other electronics that you transfer to us or buy from us.
- "Data-Bearing Device" means any Equipment that stores or may store information, including hard drives, solid-state drives, flash memory, phones, tablets and network devices.
- "Quote" means our written estimate of the value of, or price for, Equipment or services.
- "Audit" means our receipt, inventory, inspection, testing and grading of Equipment at our facility.
- "Services" means trade-in and buyback, pickup and logistics, data sanitization and destruction, asset tracking, reporting, recycling and related services.
3. Quotes and final valuation
Quotes are estimates based on the information you provide, including make, model, specifications, quantity and condition. Unless the Quote states otherwise, a Quote remains valid for twenty-one (21) days from issue, provided Equipment is released to us within that period.
Final value is determined at Audit. We may adjust the amount we pay when Equipment received differs from what was quoted, including differences in:
- model, generation, processor, memory, storage or other specifications;
- quantity, missing units, or missing components such as drives, batteries, chargers, keyboards or screens;
- cosmetic or functional condition, including cracked screens, liquid damage, swollen batteries or failed diagnostics;
- active device locks, management enrollment or passwords (see Section 5).
We will send you an Audit report showing any adjustment. You may accept the revised amount or, within five (5) business days of the report, ask us to return the affected Equipment that has not yet been sanitized or destroyed, at your cost. If you do not respond within that period, the revised amount is deemed accepted. Equipment with no resale value may be recycled at no charge to you. Market prices for used electronics change quickly, and expired Quotes may be re-priced at current market value.
4. Customer representations
For all Equipment you transfer to us, you represent and warrant that:
- you are the lawful owner of the Equipment, or are authorized by the owner to transfer it, and it is free of any lien, lease, security interest or third-party claim;
- the Equipment is not stolen, lost, fraudulently obtained, or subject to a carrier, financing or insurance block;
- the information you provide about the Equipment is accurate and complete;
- you have disclosed any Equipment that is damaged, leaking, contains swollen or damaged batteries, or is otherwise hazardous; and
- your transfer of the Equipment and any data on it complies with all laws, contracts and policies that apply to you.
We cooperate with law enforcement. We may hold, report or surrender any Equipment we reasonably believe is stolen or subject to a legal claim, and we will not pay for such Equipment. If payment was already made, you agree to refund it on request.
5. Device locks and management
Before releasing Equipment, you must remove all locks and management controls, including Apple Activation Lock and Find My, Google Factory Reset Protection, Samsung Reactivation Lock, mobile device management (MDM) enrollment such as Apple Business Manager, Microsoft Intune or Autopilot, and BIOS, firmware or supervisor passwords.
If Equipment arrives locked or enrolled, we will notify you and allow ten (10) business days for you to release it remotely. After that period, locked Equipment may be valued as parts only, recycled, or returned to you at your cost, at our discretion.
6. Customer data and sanitization
Back up your data first. You are solely responsible for backing up any data you want to keep before releasing Equipment. Once Equipment is released, we will not retrieve, copy or return any data, and we are not responsible for the loss of data you did not back up.
We will sanitize every Data-Bearing Device we receive using methods consistent with NIST Special Publication 800-88, Guidelines for Media Sanitization. Media that cannot be verified as successfully sanitized will be physically destroyed. Our methods are described on our Data Security page. On request, and once the applicable job is complete, we will provide certificates of sanitization or destruction identifying Equipment by serial number or asset tag.
Our personnel are prohibited from accessing, reviewing, copying or using data found on Customer Equipment, except to the limited extent technically necessary to perform and verify sanitization. You remain responsible for your own obligations as a data owner under laws such as FERPA, HIPAA, GLBA and state privacy and breach-notification laws. If your organization requires a data protection agreement or business associate agreement, contact us before shipping so we can review it.
7. Title, risk of loss and chain of custody
Title to and risk of loss for Equipment pass to New Gen Technology when the Equipment is picked up by us or by a carrier we arrange, or, if you arrange shipping yourself, when it is delivered to our facility. Our chain of custody begins at that moment and is documented through intake, processing and final disposition.
Equipment you ship using your own carrier remains at your risk until it is delivered to us. We are not responsible for Equipment lost or damaged in transit by a carrier you selected.
8. Pickup, shipping and packaging
- You must provide an accurate inventory, safe access to the pickup location, and a contact who is present at the scheduled time.
- Equipment must be reasonably packaged or palletized to prevent damage. Damaged or swollen lithium batteries must be disclosed and separated before pickup.
- Pickups cancelled with less than two (2) business days' notice, or failed because Equipment was not ready or accessible, may be charged the actual logistics costs incurred.
- Complimentary pickup, where offered, applies to qualifying orders stated in your Quote.
9. Payment
We pay the Audit-confirmed amount after Audit is complete and any adjustment is accepted, by ACH, wire, or check, as agreed. Our standard target is payment within seven (7) business days of Audit completion. Large or complex projects may be scheduled differently, as stated in your Quote.
We may require a completed IRS Form W-9 and verified banking details before paying. We may deduct from any payment the cost of returning Equipment at your request, any amounts previously paid for Equipment later found to be stolen or misrepresented, and any other amounts you owe us. For Services we charge for, invoices are due within thirty (30) days unless otherwise stated, and late balances may accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.
10. Recycling and environmental compliance
We prioritize reuse. Equipment and components that cannot be reused are processed through downstream recycling partners in accordance with applicable federal, state and local environmental laws. We do not knowingly send electronic waste to landfill, and we comply with applicable U.S. export control and waste export laws. On request, we can provide recycling and environmental reporting for your project.
11. Purchases of refurbished equipment
When you buy Equipment from us:
- Condition. All Equipment is used or refurbished, not new manufacturer stock. Each unit is tested and sanitized before sale. Cosmetic grades describe appearance only, and minor wear consistent with the grade is not a defect.
- Pricing. Prices listed on this website labeled "Launch MSRP" or "Est. launch MSRP" are the manufacturer's original launch prices, shown for reference only. They are not our sale prices or offers to sell. Your price is the price stated in our written Quote or invoice.
- Orders. An order is binding only when we confirm it in writing. We may cancel an order affected by a pricing or listing error, limited stock, or suspected fraud, and refund any amount paid.
- Returns. Unless your Quote states otherwise, you may return Equipment that is defective or not as described within thirty (30) days of delivery for repair, replacement or refund, at our option. Returns require a return authorization from us and must include all items shipped. Equipment damaged after delivery, altered, or locked to your account cannot be returned.
- Manufacturer warranty. We do not provide or guarantee any manufacturer warranty. Any remaining manufacturer coverage is between you and the manufacturer.
- Shipping. Free shipping applies only to orders that qualify under your Quote. Risk of loss for purchased Equipment passes to you on delivery.
12. Confidentiality
Each party will keep confidential the other's non-public business information received in connection with the Services, including pricing, Audit reports, asset lists and customer contacts, and will use it only to perform or receive the Services. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
13. Disclaimer of warranties
Except as expressly stated in these Terms or in a signed written agreement, the Services, the website and all Equipment are provided "as is" and "as available," and New Gen Technology disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, to the fullest extent permitted by law.
14. Limitation of liability
To the fullest extent permitted by law, New Gen Technology will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business opportunity, goodwill, or data, even if advised of their possibility.
Our total liability arising from or related to the Services, any Equipment, or these Terms will not exceed the total amount paid by or to New Gen Technology under the specific Quote or order giving rise to the claim during the twelve (12) months before the claim arose.
These limits do not apply to liability that cannot be limited under applicable law, including liability for our fraud, gross negligence or willful misconduct.
15. Indemnification
You agree to defend, indemnify and hold harmless New Gen Technology and its owners, employees and agents from any claims, losses, damages, fines and reasonable attorneys' fees arising from: (a) your breach of these Terms or of the representations in Section 4; (b) any claim by a third party to ownership of Equipment you transferred; (c) hazardous conditions you did not disclose; or (d) your violation of any law.
16. Public entities and signed agreements
If you are a school district, university, state or local government, or other public entity, any provision of these Terms that is prohibited by a law that governs you will not apply to you, and the rest of these Terms remain in effect. A master services agreement, statement of work or other contract signed by both parties controls over these Terms where they conflict.
17. Use of this website
- All content on this website, including text, graphics, logos and design, belongs to New Gen Technology LLC or its licensors and may not be copied or reused without permission. Product photos may be provided by third parties under their own licenses.
- You may not misuse the website, including by submitting false or fraudulent requests, attempting to gain unauthorized access, scraping it with automated tools, or interfering with its operation.
- We try to keep product information accurate, but specifications, availability and images may contain errors and may change without notice.
- Links to third-party websites are provided for convenience. We are not responsible for their content or practices.
18. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Before filing any claim, the parties agree to try in good faith to resolve the dispute by written notice and negotiation for at least thirty (30) days. Any unresolved dispute must be brought exclusively in the state or federal courts located in Bexar County, Texas, and each party consents to their jurisdiction. To the extent permitted by law, each party waives trial by jury, and claims may be brought only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding.
19. General terms
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, such as natural disasters, carrier disruptions, labor actions or government orders. Payment obligations for work already completed are not excused.
- Independent contractors. The parties are independent contractors.
- Assignment. You may not assign these Terms without our written consent.
- Severability and waiver. If any provision is found unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
- Changes. We may update these Terms by posting a new version on this page. The version in effect when you accept a Quote or place an order applies to that transaction.
- Entire agreement. These Terms, together with your Quote and any signed agreement, are the entire agreement between the parties about their subject matter.
